Layers — Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the Layers app (“App”), operated by Wise Creations Inc. (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, please do not use the Services.

2. License and Use of the App

  • License Grant: We grant you a non-exclusive, non-transferable, revocable license to use the App solely for your personal, non-commercial purposes in accordance with these Terms.
  • Restrictions: You agree not to modify, reverse-engineer, or otherwise misuse the App or any part of it.

3. Description of Services

Layers lets you catalog clothing, create and plan outfits, maintain private shared closets, and choose AI-powered wardrobe and styling features. The App uses camera and photo-library access with your permission, remote data storage through Convex, and, only after separate AI permission, Google Gemini and sometimes Replicate.

4. Plans, Subscriptions, and Payments

Layers includes free access and may offer one or more optional paid memberships. We may test or change plan names, feature groupings, eligibility, limits, prices, billing periods, and introductory offers. The current in-App plan comparison and the Apple or Google Play purchase sheet show the specific terms available to your account before you confirm a purchase. The applicable store purchase sheet is the final purchase confirmation.

Existing subscribers may retain access under an earlier or grandfathered membership entitlement. Your current access level and available management options appear in Profile.

  • Paid memberships are auto-renewing subscriptions billed through your Apple Account or Google Play account, depending on where you subscribe. They renew at the price and period shown by that store unless you cancel before the next renewal under its billing rules.
  • You can open the applicable store’s subscription-management screen from Profile → Membership → Manage subscription. Cancelling prevents a future renewal; it does not delete your Layers account or data.
  • Deleting your Layers account does not cancel an Apple or Google Play subscription. Cancel the subscription separately in your Apple Account settings or Google Play subscriptions.
  • Any introductory or promotional offer applies only when it is shown as available to your account. Its eligibility, duration, renewal price, and other terms are the terms displayed in the App and applicable store purchase sheet when you subscribe.
  • The store where you subscribe processes purchases and refund requests under its policies. We do not receive your payment card details.

5. User Content and AI Processing

  • You retain ownership of the photos, messages, and other content you add to the App. You grant us a limited license to store, display, and process that content only as needed to provide, protect, and support the Services.
  • Before Layers sends personal data to a third-party AI provider, the App asks for explicit permission. If allowed, the photo or message you choose and relevant item or closet details may be sent to Google Gemini to create the requested result. Some clothing photos may be sent to Replicate to remove their backgrounds.
  • You can decline and continue using non-AI features. You can stop future third-party AI processing in Profile. Withdrawal does not reverse processing already completed or control data a provider may retain under its terms or legal obligations.
  • You agree not to upload content that is unlawful, infringes another person’s rights, or violates these Terms.

6. Private Shared Closets and Safety

Shared closets are private and invitation-only. Members can see and, depending on their role, contribute to the closet they joined. You are responsible for content you add and invitations you send.

  • Layers applies a narrow automated filter to certain member-visible closet and collection text. No filter detects every concern.
  • Current shared-closet members can report another member. Reports are stored with a category and report identifier for support review, and the App offers an email handoff to support@wisecreations.ca.
  • Members can block another account. Blocking separates shared-closet access, revokes pending direct invitations, and prevents future invitations between the accounts. Unblocking permits future invitations but does not restore old access.
  • We may review reported content or conduct, restrict access, remove content, or suspend or terminate an account where reasonably necessary to protect users, enforce these Terms, or comply with law. We do not guarantee that every report will result in account action.

7. User Obligations and Prohibited Conduct

  • You agree to provide accurate and current information when using the Services.
  • You must not use the App to harass, threaten, exploit, or abuse another person; share unlawful or infringing content; evade a block; gain unauthorized access; scrape data; distribute malware; or interfere with the Services.

8. Intellectual Property

All content, trademarks, and intellectual property rights in the App, excluding your user content, are owned by Wise Creations Inc. or its licensors. You may not use such content without express written permission from the rights holder.

9. AI Features Disclaimer

Styling suggestions, clothing analysis, and generated images are produced using AI for wardrobe and style assistance. Results may be inaccurate, incomplete, or unsuitable for a particular situation. Review a result before relying on it. We do not warrant its quality or suitability.

10. Disclaimers and Limitation of Liability

  • The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
  • In no event shall Wise Creations Inc., its directors, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the App, including loss of data or revenue, even if advised of the possibility of such damages.
  • We are not liable for acts or omissions of third-party providers, including Convex, Google Gemini, Replicate, RevenueCat, PostHog, or Sentry.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wise Creations Inc. from any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or connected with your use of the Services or your violation of these Terms.

12. Termination and Account Deletion

We may suspend or terminate your access to the Services if you violate these Terms or where reasonably necessary to protect users or the Services. You may stop using the Services and delete your account at any time from Profile. Account deletion is irreversible and does not cancel an Apple or Google Play subscription. 13. Modifications to the Terms

We reserve the right to modify or update these Terms from time to time. We will post revised Terms with an updated effective date. Continued use of the Services after the revised Terms take effect constitutes acceptance of them.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Wise Creations Inc. is incorporated, without regard to conflict of law provisions. Disputes shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.
